1. Introduction

These Terms & Conditions (“Terms”) govern your use of the Serpier platform (“Platform”), operated by Serpier ApS (“we”, “us” or “our”).
By creating an account, placing an order, or using the Platform in any way, you agree to these Terms. These Terms, together with any specific orders placed on the Platform, form the entire agreement between you and us (“Agreement”).

2. Eligibility & Account Registration

• You must be at least 18 years old to use the Platform.
  
  
• Organizations may register and invite team members with roles (Owner, Admin, Member) that have varying access rights.
  
  
• You are responsible for safeguarding your login credentials and for all activity under your account.
  
  
• Notify us immediately of any unauthorized access.
  
  

3. Platform Description

• Serpier offers a curated marketplace for purchasing backlinks from third-party publishers (“Publishers”).
  
  
• While Serpier facilitates the process, the actual publication is performed by Publishers.
  
  
• All content is subject to review by both Serpier and the buyer before publication.
  
  
• We may use subcontractors and service partners to deliver parts of the service.
  
  

4. Orders, Pricing & Payments

• Prices on the Platform are in EUR and exclusive of VAT unless stated otherwise.
  
  
• Payment is processed securely via Stripe at the time of order unless otherwise agreed in writing.
  
  
• We may update our prices and pricing models at any time.
  
  
• No refunds are offered unless otherwise agreed. If a Publisher fails to deliver, we may issue a credit to your account for future use.
  
  
• Subscriptions (paid tiers)
  
  • If you purchase a paid subscription, you must provide complete and accurate billing information, including a valid payment method.

  • Subscription fees are charged automatically in advance for each monthly billing period (as shown on the Platform) and will renew automatically each month until you cancel. You are responsible for any applicable taxes, which we will charge when required. If a payment cannot be completed, we may block access to paid features until payment is received.

  • The features, benefits and other entitlements included in a paid subscription (such as usage limits or tools) are described on the Platform and may be updated or changed by us from time to time. If we make changes that materially reduce, or are not to your benefit compared to, the features, benefits or entitlements previously included in your paid subscription, we will give you at least 30 days’ notice before the change takes effect so that you have the opportunity to cancel.

  • You can cancel your paid subscription at any time via your account settings. Unless otherwise required by mandatory law, payments are non‑refundable, and your access to paid features will continue until the end of the current billing period.

  • If you upgrade your subscription to a higher paid tier, the upgrade takes effect immediately and any additional fee for the rest of the current billing period will be charged at the time of upgrade. If you downgrade to a lower paid tier, the change takes effect from the next billing period; your current tier and price apply until then.

  • We may change our subscription prices from time to time. For existing paid subscriptions, price changes will take effect on your next renewal. Where required, or in case of price increases, we will provide notice in advance so you have the opportunity to cancel before the new price applies.

5. Use Restrictions

You may not:

• Use the Platform for spam, phishing, scraping, or unlawful activities.
  
  
• Submit or promote illegal, harmful, or infringing content.
  
  
• Circumvent our processes or attempt to contact Publishers directly using Platform data.
  
  
• Use the Platform as a lead list — proven breaches may result in a lifetime ban and claims for lost revenue.
  
  

6. Warranties & Disclaimers

• You are solely responsible for the accuracy and legality of the information and content you provide.
  
  
• We do not guarantee specific SEO results, rankings, or immunity from search engine penalties.
  
  
• All use of the Platform is at your own risk.
  
  

7. Indemnification

You agree to indemnify and hold Serpier, its affiliates, directors, employees, and partners harmless from any claims, damages, or costs (including legal fees) arising from:

• Your breach of these Terms
  
  
• Content or information you provide
  
  
• Any third-party claims related to your use of the Platform
  
  

8. Intellectual Property & References

• All Serpier branding, logos, and Platform content are our intellectual property.
  
  
• You may not reproduce, redistribute, or display our branding without permission.
  
  
• Unless agreed otherwise, we may use your company name and logo for marketing purposes.
  
  

9. Confidentiality

• Both parties agree to treat all non-public information obtained during the Agreement as confidential for 5 years after termination.
  
  
• Confidential information may be disclosed only if required by law or with prior written consent.
  
  

10. Data Use

• We may crawl or scrape your website(s) to create and verify content for orders.
  
  
• Data collected will be used only for purposes related to delivering our services and handled according to our Privacy Policy and applicable laws.
  
  

11. Liability & Limitation

• We are not liable for indirect losses such as loss of profit, data, or business opportunities.
  
  
• Our total liability for any claim is limited to the total amount you paid for the specific order in question.
  
  
• We disclaim any product liability.
  
  

12. Force Majeure

We are not liable for delays or failure to perform caused by events beyond our reasonable control, including but not limited to: internet outages, cyberattacks, strikes, natural disasters, or acts of war.

13. Termination

We may suspend or terminate your account at our sole discretion if you breach these Terms or engage in activities harmful to us, Publishers, or the Platform.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the new Terms.

15. Governing Law & Venue

These Terms are governed by Danish law. Any disputes will be settled in the City Court of Aarhus, Denmark.

By using Serpier, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
